Welcome to NIILAA LLC. These Terms and Conditions (“Terms”) govern your access to and use of our website www.niilaa.com, our managed IT services, 3CX unified communications, cloud solutions, and any other services provided by NIILAA LLC (collectively, the “Services”).
By accessing our website or purchasing our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.
1. The Agreement
These Terms, along with our Privacy Policy, Refund Policy, and applicable Service Level Agreements (SLAs), constitute the entire legal agreement between you (“Client”) and NIILAA LLC (“Company”). These Terms supersede any prior agreements or understandings, whether written or oral.
2. Services and Reselling
- Resold Services: NIILAA LLC acts as an authorized partner and reseller for various third-party providers (including 3CX, Microsoft, Veeam, etc.). You acknowledge that such services are subject to the respective provider’s own Terms of Service and End User License Agreements (EULA).
- Managed Support: Services such as "Pro Support" or "Maintenance by NIILAA" are provided directly by us and are subject to the specific performance targets outlined in our 3CX SLA or General SLA.
3. Payment and Fees
- Pricing: All prices are in USD unless otherwise specified. We reserve the right to adjust pricing based on currency fluctuations or changes in third-party vendor costs.
- Non-Refundable Fees: As outlined in our Refund Policy, payment gateway fees are non-refundable in the event of an approved refund.
- Late Payments: Failure to pay invoices by the due date may result in immediate suspension of Services. Suspended services may be subject to a reconnection fee.
4. Acceptable Use Policy (AUP)
You agree not to use our Services, including VoIP and hosting, for any unlawful or prohibited activities, including but not limited to:
- Spamming and Telemarketing: Using VoIP services for automated "robocalling" or unsolicited marketing in violation of local laws (e.g., TCPA in the US).
- Security Interference: Attempting to bypass security measures or perform unauthorized testing on our infrastructure.
- Illegal Content: Hosting or transmitting content that is defamatory, obscene, or infringing on intellectual property rights. NIILAA LLC reserves the right to terminate Services immediately and without notice if a violation of the AUP is detected.

6. Disclaimer of Third-Party Failures
NIILAA LLC utilizes third-party infrastructure (AWS, Azure, VPS providers) and communication networks (SIP Trunks). We do not own or control these networks. NIILAA LLC is not liable for service outages, data breaches, or performance failures occurring within the infrastructure or control of these third-party providers. Our liability is strictly limited to our own managed actions as defined in our SLAs.
7. Indemnification
You agree to indemnify, defend, and hold harmless NIILAA LLC and its officers from and against any and all claims, damages, losses, or expenses (including reasonable attorney’s fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.
8. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of NIILAA LLC or our licensors and is protected by US and international copyright laws. You may not use our branding or proprietary content without express written permission.
9. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, USA. You explicitly agree that any legal action or proceeding related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico.
10. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter through informal good-faith negotiations. If negotiations fail, the dispute shall be resolved through binding arbitration in Albuquerque, New Mexico, or another mutually agreed location.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Updates will be posted on this page with a revised “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
